Communication with Shareholders
Introduction
- This policy sets out the processes by which the Company will endeavour to ensure timely and accurate information is provided equally to the public, all shareholders and the market.
- The Company is a publicly listed company on the Australian Securities Exchange (ASX) and must meets its continuous disclosure obligations stated in the listing rules of the ASX.
- The Company is committed to ensuring that trade in its securities takes place in an informed and efficient market.
Half year and Annual Report
- The Half-Year Report and Annual Report are the most important media through which shareholders will be provided with a detailed review and analysis of the company’s objectives and performance.
- The half-year results must be reported to the ASX by the end of February each year. The annual results must be reported to the ASX by the end of August each year. Those results are then incorporated into the Annual Report which must be lodged with the ASIC and the ASX by the end of September each year. The Annual Report will be sent to all shareholders, other than those who have elected not to receive it.
- Both the Half-Year Report and the Annual Report will be placed on the website as soon as practicable after they have been released to the ASIC and the ASX.
Quarterly Activities Report
- Each quarter an update of operational performance and any other significant items will be issued to the market. This quarterly activities report will be lodged with the ASX by the nominated period for each quarter. The Quarterly Activities Report will be placed on the website as soon as practicable after it has been released to the ASX.
Announcements to the ASX
- Significant developments affecting the Company may be the subject of an announcement to the ASX under the continuous disclosure obligations. All announcements and other information released to the ASX will be placed on the website as soon as practicable after release.
Annual General Meetings
- Effective participation by shareholders will be encouraged at general meetings and procedures will be designed to facilitate this. The Company will request the external auditor to attend the annual general meetings and be available to answer shareholder questions about the conduct of the audit and the preparation and content of the auditor’s report.
- The Company supports the 'Guidelines for Notices of Meeting' contained in the ASX Corporate Governance Council's Corporate Governance Principles and Recommendations.
- General meetings of shareholders will usually be held in Brisbane.
Analyst, investor and media briefings
- Analyst and media briefings will generally be conducted at the time of release of half-year and full year results. Such briefings may also be conducted when a significant event occurs or at other times throughout the year. An audio recording together with any materials distributed at such briefings may be posted to the Company's website at the time of the briefing.
- Investor meetings may be held from time to time. At those meetings the Company will only convey information that is already in the public domain.
Other Communications
- From time to time the Company may conduct one-on-one briefings with the financial community/institutional investors. Where such briefings occur, no information will be provided which may have a material effect on the price or value of the company’s securities unless it has been announced previously to the ASX.
Methods of communication
- The website will be the primary tool to communicate rapidly with shareholders, and as a source of meaningful and current information about the Company. The following information will be placed on the website:
- Half-Year Reports and Annual Reports for the last 2 years;
- notices of general meeting for the last 2 years;
- transcripts or summaries of general meetings for the last 2 years;
- materials relating to analyst and media briefings for the last 12 months;
- any prospectus issued by the Company over the last 12 months;
- the company’s Constitution;
- information concerning the market trading of the company’s securities;
- all announcements made to the market after they have been released to the ASX; and
- significant media releases for the last 12 months.
- Whenever possible email will be used to communicate with shareholders who wish to receive communications in electronic form. Shareholders may register at the Company website and once registered, will be sent links to important information by email such as:
- ASX releases;
- annual reports;
- company presentations; and
- notices of general meetings.
- Only the Managing Director and those authorised by and names in the company’s Continuous Disclosure Policy are permitted to make public statements on behalf of the Company.
Provision of other information
- Except where otherwise provided in this policy the Company will not release price sensitive information into the public domain unless:
- it is to comply with its continuous disclosure obligation and the information is first announced to the ASX; or
- it is to acknowledge the range of current earnings estimates in the market.
